Purpose of this disclosure

This Risk Disclosure explains the nature of ModernMarkets' business and clarifies important limitations on how the content of this website (mmsys.xyz) should be understood. It applies to all visitors to the Site.

ModernMarkets is a technology provider

ModernMarkets designs and supports FIX protocol connectivity software and related managed infrastructure services. Our customers are institutional counterparties, such as brokerages, who use our technology as part of their own trading and market-access operations. ModernMarkets does not execute trades, hold client assets, provide brokerage services, or act as a counterparty to any trade. We provide infrastructure and connectivity technology; we are not a party to, and have no visibility or control over, the trading decisions our customers or their end clients make using that infrastructure.

Nothing on this Site constitutes investment, financial, trading, or legal advice, and nothing should be relied upon as such. ModernMarkets is not a registered investment adviser, broker-dealer, or other regulated financial-services firm. Any institution considering our technology should seek its own independent professional advice regarding its trading operations, regulatory obligations, and risk management.

Trading and market risk

Trading in leveraged and other financial products carries substantial risk of loss. That risk is inherent to trading itself and is borne entirely by the market participants engaging in it, and by their own clients, not by ModernMarkets. Connectivity or infrastructure software of any kind, including ours, does not eliminate, reduce, or otherwise mitigate market risk, counterparty risk, credit risk, or operational risk associated with trading activity. Our technology facilitates the transmission of order and market data messages; it does not manage, hedge, or guarantee outcomes related to the trades transmitted.

Performance and availability figures

Any figures on this Site describing latency, uptime, throughput, or similar performance characteristics are engineering design targets and general illustrations of our technology's intended operation. They are not guarantees, warranties, or contractual commitments unless and until they are expressly stated as binding terms within a signed services agreement between ModernMarkets and a customer. Actual performance may vary based on network conditions, customer configuration, and other factors outside our control.

Roadmap items

Portions of this Site marked "roadmap" or described as design-stage describe technology under development. They are statements of design intent, not descriptions of available services, and should not be relied upon in any procurement decision.

Jurisdictional availability

ModernMarkets' services may not be available to institutions in all jurisdictions, and availability may depend on regulatory, contractual, or operational considerations specific to a given region or counterparty. Nothing on this Site should be read as an offer of services in any jurisdiction where such an offer would be unlawful or where we have not made services available.
